A well-developed marketing service agreement clearly outlines the services provided by the marketing agency, which ensures that the scope of services to be provided is clearly defined and that the customer`s expectations are consistent with this magnitude. The limitation of liability is to determine the extent to which the service provider is liable if something goes wrong with the delivery of its services. Each party undertakes to keep the other party`s information confidential and not to use or disclose it, unless these Terms permit. The parties undertake not to disclose these terms and conditions (including all schedules) or details of an order or price structure. This duty of trust applies to the confidential information that a party receives prior to the conclusion of this agreement. Each contracting party refrains from making negative comments about the other party, whether online or in person. Marketing agencies generally need access to the customer`s website, social media accounts or data to run their services. Bambrick Media does not accept the likelihood of success of marketing or advertising activities carried out in accordance with the agreement. This agreement does not establish a relationship between the parties between the employment, the agency or the partnership.
The service plan and customer pricing are described in the Digital Marketing Service Proposal and Agreement, which remains in effect for the first period. One party`s liability for claims related to the agreement is reduced to the extent that the other party contributed to the damage resulting from the claim. The marketing agency can also retain ownership of all PIs developed as part of its collaboration with the customer and grant the customer a license to use the IP so that they can benefit from the service of the provider. All service agreements contain a clause specifying how each party can terminate the contract. Bambrick Media reserves the right to calculate the additional costs associated with customer instructions, lack of instructions, interruptions, errors, work for which Bambrick Media is not responsible, as well as changes in requirements, expectations or hardware and software environment, as well as additional work caused by errors or defects in a service provided by third parties.
